A stipulation of a contractual penalty [liquidated damages] ‘for delay’ does not necessarily mean that in this way the debtor assumes liability for the circumstances for which it is not liable pursuant to generally applicable laws (Article 473 of the Civil Code), i.e. that it is liable beyond the standard of due diligence (Article 472 of the Civil Code). In turn, the conclusion of a guarantee agreement (clause), providing for the guarantor’s duty to perform in the circumstances where a guaranteed result has not materialised (e.g. the debtor failed to perform under the ‘meritorical’ agreement) makes it possible for the creditor to receive from the debtor (guarantor) the performance agreed in the guarantee agreement, irrespective of the reasons for the debtor’s (guarantor’s) non-performance under the ‘meritorical’ agreement, and thus also when the debtor would not be liable ex contractu for the non-performance of the ‘meritorical’ agreement pursuant to generally applicable laws.
