Osoba fizyczna może w arbitrażu występować w różnych rolach, w tym jako konsument (art. 22 1 Kodeksu cywilnego1), jako przedsiębiorca (art. 431 k.c.) i jako wyłącznie osoba fizyczna, bez dodatkowej kwalifikacji podmiotowej. To zaś, za kogo osoba fizyczna będzie uznana w danych stosunkach, jest istotne z perspektywy prawa arbitrażowego, zwłaszcza w świetle art. 11641 Kodeksu postępowania cywilnego2. Artykuł omawia możliwe interpretacje pojęcia konsumenta i przedsiębiorcy w sytuacji, gdy w arbitrażu pojawia się osoba fizyczna jako gwarant czy poręczyciel w związku z zobowiązaniami jednostki organizacyjnej, nad którą osoba taka sprawuje pośrednią czy bezpośrednią kontrolę.
Abstract EN
A natural person may appear in arbitration in various roles, i.a. as a consumer (Article 221 of the Civil Code), as an entrepreneur (Article 431 of the Civil Code) or solely as a natural person, without any additional subjective qualifications. Who such person may appear to be in particular circumstances is of importance from the perspective of arbitration law, especially under Article 11641 of the Code of Civil Proceedings. The article discusses possible interpretations of the concept of
a consumer and an entrepreneur where in arbitration a natural person appears as a guarantor or a surety with respect to the obligations of the entity controlled, directly or indirectly, by such natural person.
