Podstawowym celem kodeksowej regulacji umowy agencyjnej jest ochrona agenta. Szczególny wzgląd prawodawcy na interesy agenta nie jest równoznaczny ze zwolnieniem go z ponoszenia ryzyka ekonomicznego związanego z prowadzoną działalnością gospodarczą i jego całkowitym przerzuceniem na dającego zlecenie. Jako podmiot profesjonalny agent nie powinien być zwalniany z ryzyka immanentnie związanego z prowadzeniem działalności gospodarczej. Celem artykułu jest określenie zakresu, w którym strony umowy agencyjnej mogą kształtować rozkład ryzyka ekonomicznego związanego z wykonywaniem umowy. W szczególności przeanalizowany został przysługujący stronom zakres swobody kontraktowej w odniesieniu do kształtowania zasad wynagrodzenia agenta oraz alokacji ryzyka związanego z niewykonaniem lub nienależytym wykonaniem zobowiązania przez klienta pozyskanego dla dającego zlecenie dzięki wysiłkom agenta.(abstrakt oryginalny)
Abstract EN
The basic aim of the regulation of agency agreement in the Civil Code is to protect the agent. Special attention paid by the legislator to the agent's interests is not tantamount to the latter being exempt from any economic risks relating to the business activity and transferring it fully to the principal. As a professional entity, an agent should not be exempt from the risks inherently involved in the pursuit of business activity. The article aims to determine the scope within which both parties to an agency agreement can shape the distribution of economic risks involved in performing the agreement. In particular, the analysis concerns the extent of freedom of contract available to the parties with respect to laying down the rules of the agent's remuneration and the allocation of risk relating to non-performance or defective performance of the obligation by the client found for the principal thanks to the agent's efforts.(original abstract)
