dc.abstract.enThe aim of the article is to analyse the principles of representation of a family foundation in contracts and in disputes with members of its board. The legislator has rightly noted that conflicts of interest between a company and its managers may occur in this type of relations. In order to mitigate their effects, it has been decided to introduce a mechanism used in the solutions adopted in shareholding companies. This approach has led to transferring interpretative doubts to the Family Foundation Act, which became apparent in application of the provisions of Art. 210, Art. 30067 and Art. 379 of the Commercial Companies Code. The article proposes a desirable model of interpretation of Art. 63 of the Family Foundation Act which regulates this issue, and formulates de lege ferenda postulates aimed at removing any interpretational doubts that may arise.
dc.abstract.plCelem artykułu jest przeanalizowanie zasad reprezentacji fundacji rodzinnej w umowach i sporach z członkami jej zarządu. Ustawodawca słusznie dostrzegł, że w tego typu relacjach mogą zachodzić konflikty interesów pomiędzy fundacją rodzinną a jej zarządcami. W celu łagodzenia ich skutków zdecydował się wykorzystać mechanizm wzorowany na rozwiązaniach przyjętych w spółkach kapitałowych. Podejście to doprowadziło do przeniesienia na grunt ustawy z 26.1.2023 r. o fundacji rodzinnej1 wątpliwości interpretacyjnych, które ujawniły się na gruncie stosowania przepisów art. 210, 30067 oraz 379 KSH. W artykule zaproponowano pożądany model wykładni regulującego tę kwestię przepisu art. 63 FundRodzU i sformułowano postulaty de lege ferenda, zmierzające do usunięcia mogących się pojawić wątpliwości interpretacyjnych.
