Czy umowy gwarancyjne są potrzebne? (zastrzeżenie kary umownej a umowa gwarancyjna – polemicznie

dc.abstract.enThe author critically discusses the views of Przemysław Drapała in the matter of the admissibility of making guarantee contracts, which – especially if they were to obligate the guarantor to make a specific pecuniary performance in the event of non-performance of another “underlying” contract binding the guarantor and the creditor – should be considered (in Przemysław Drapała’s view) to be contracts stipulating contractual penalties [liquidated damages], rather than guarantee contracts. In turn, in the event when the performance stipulated in the guarantee contract were to be due for the guarantor’s failure to make the pecuniary performance agreed upon in the “underlying” contract, then – in Przemysław Drapała’s view – such contracts (understood as stipulating contractual penalties) should be considered void, as violating the prohibition provided for in Article 483(1) of the Polish Civil Code. The author does not share Przemysław Drapała’s views. There is no reason to convert the above-described guarantee contracts into agreements stipulating contractual penalties and, consequently (following such conversion), to consider them to be void, due to the prohibition in Article 483(1) of the Polish Civil Code. A possible equal sign between the purposes and functions of a guarantee contract and those of a contractual penalty contract – which is the basic argument raised by Przemysław Drapała against guarantee contracts – is not enough to consider the latter contracts to be inadmissible.
