Krytycznie o polemice: kwalifikacja prawna klauzuli drag along

dc.abstract.enThe author responds to the polemic by Krzysztof Jasiński, set out in his article published in Przegląd Prawa Handlowego 2022/3, wherein Krzysztof Jasiński proposes to interpret drag-along clauses in terms of framework contracts. In this author’s opinion, while such an interpretation seems correct, a framework contract offers very little as regards the possibility of enforcing the obligation stemming from a drag-along clause through the vehicle of a substitute declaration of intent, set forth in Article 64 of the Civil Code. It is only when such a possibility exists that a drag-along clause could be considered to be a useful transactional tool.
