Celem artykułu jest przeanalizowanie problemów praktycznych związanych z określaniem stosunku wymiany udziałów lub akcji spółki przejmowanej bądź spółek łączących się przez zawiązanie nowej spółki na udziały lub akcje spółki przejmującej bądź spółki nowo zawiązanej w procesach połączeń spółek kapitałowych (parytetu wymiany). Analizie poddano granice przysługującej w tym zakresie swobody decyzyjnej. Poruszono też pomijany w literaturze problem związany z tzw. udziałami lub akcjami resztowymi, a więc prawami udziałowymi w podwyższonym kapitale zakładowym spółki przejmującej, które nie mogą zostać objęte przez wspólników spółki przejmowanej w wyniku posłużenia się przyjętym w planie połączenia parytetem wymiany. Ze względu na niedoskonałość rozwiązań dostępnych na gruncie obecnie obowiązujących przepisów w celu jego rozwiązania w artykule zgłoszono w tym zakresie postulaty de lege ferenda.
Abstract EN
The purpose of this article is to analyse the practical problems involved in determining the ratio for the exchange of shares of the target company or companies merging by formation of a new company for shares of the acquiring company or the company newly formed in company merger processes (share exchange ratio). The limits of the discretion available in this regard are analysed. The article also addresses the problem, neglected in literature, of the so-called residual shares, i.e., share rights in the increased share capital of the bidding company which cannot be taken up by the shareholders of the target company as a result of using the exchange ratio adopted in the merger plan. Due to the inadequacy of the solutions available under the current legislation to address it, the article puts forward proposals of legislative amendments in this regard.
