dc.abstract.enOptions (call and put) are a typical element of the & acquisitions landscape. The same is true about the drag/tag-along clauses. In legal writings and case law a discussion is currently being held as to which instruments recognised by Polish law render the above structures in the most adequate way, while retaining their typical functionalities in the area of shaping the shareholder structure in commercial companies. The article joins the above discussion whilst at the same time criticising some views expressed in legal writings regarding the subject matter in question.
dc.abstract.plOpcje (w postaci call czy put) stanowią typowy element krajobrazu transakcji mergers & acquisitons. Podobnie jest w przypadku klauzul drag/tag-along. W doktrynie i orzecznictwie trwa dyskusja, jakie instrumenty znane prawu polskiemu wyrażają te konstrukcje w najbardziej adekwatny sposób, z zachowaniem typowych funkcjonalności, jakie ich zastosowanie powinno zapewniać w kwestiach kształtowania składu osobowego spółek handlowych. Artykuł odnosi do tej dyskusji, krytykując przy okazji niektóre poglądy wyrażane w doktrynie na ten temat.
