dc.abstract.enThe author presents a legislative proposal for a statutory regulation of a guaranty contract alongside certain basic controversies (in legal writings and case law) related to such a contract. In the author’s opinion, a guaranty contract may be considered (from a structural point of view) as such if it contains a guaranty reservation, wherein a guarantor assures its contracting party of a given state of affairs (past, present or future), and, at the same time, provides for the performance that the guarantor is due to render in the event of the absence of the guaranteed state of affairs. Due to the proximity between a guaranty reservation and a reservation of condition, the proposal refers widely (mutatis mutandis) to the institution of condition as set forth in Article 89 et seq. of the Civil Code.
